Subscriber Agreement

The terms that govern your Contractors Bid Prep service subscription.

1. Scope of Service

Contractors Bid Prep ("CBP") provides government bid monitoring and administrative preparation services to subscribers under one of the following tiers:

  • Bronze: Weekly bid opportunity scanning and SMS alerts for one trade category, with up to 5 active opportunities tracked.
  • Silver: Everything in Bronze, plus automated bid document generation, e-signature workflow, up to 3 trade categories, and client portal access.
  • Gold: Everything in Silver, plus unlimited trade categories and active opportunities, custom bid document templates, priority support, and a monthly strategy call.

The specific features included in your plan are as described on the CBP pricing page at the time of your enrollment.

2. No Guarantee / Disclaimer of Results

CBP provides monitoring, notification, and administrative preparation services only. We do not guarantee that you will receive any particular number of bid alerts, that any bid you submit will be awarded, or that any specific financial outcome will result from your subscription. Past performance of CBP or other subscribers is not indicative of future results.

3. Contractor Responsibilities

  • You are solely responsible for confirming your eligibility, licensure, bonding, and insurance for any opportunity you choose to bid on.
  • You are responsible for the accuracy and completeness of any bid amount, scope, or supporting information you provide to CBP.
  • You agree to maintain an active, valid contractor license for your trade for the duration of your subscription.
  • You agree to review all bid documents prepared on your behalf before they are submitted or signed.

4. Payment Terms

  • Subscription fees are billed monthly or annually, as selected at enrollment, via Stripe.
  • All subscription fees are non-refundable once a billing period has begun.
  • A setup fee may apply to certain plans; CBP may waive the setup fee at its sole discretion.
  • CBP will provide at least 30 days' written notice of any change to subscription pricing. Continued use of the service after a price change takes effect constitutes acceptance of the new pricing.

5. SMS Consent & TCPA

SMS notifications are a core feature of certain CBP plans. Consent to receive SMS messages is collected separately at enrollment and is not a condition of purchasing any CBP service, in compliance with the Telephone Consumer Protection Act (TCPA).

  • Reply STOP to any message at any time to opt out of SMS notifications.
  • Opt-out requests will be honored within 10 business days.
  • Message and data rates may apply depending on your mobile carrier and plan.

6. Data Handling

Subscriber data, including bid records and enrollment information, is stored using Notion and DocuSeal. CBP does not sell subscriber data to third parties. Please note that bid submissions made through public government procurement processes may become public records under applicable Florida and Alabama public records laws, regardless of how CBP stores your data.

7. Intellectual Property

CBP retains exclusive ownership of all bid document templates, automation workflows, and proprietary processes used to deliver the service. Subscribers are granted a limited, non-exclusive, non-transferable license to use generated bid documents solely for the purpose of submitting bids during their active subscription.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THIS AGREEMENT. EACH PARTY'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID OR PAYABLE BY SUBSCRIBER TO CBP DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

9. Indemnification

CBP agrees to indemnify Subscriber against direct losses arising from CBP's own errors in preparing bid documents. Subscriber agrees to indemnify CBP against losses arising from inaccurate, incomplete, or fraudulent information Subscriber provides to CBP for use in bid preparation.

10. Governing Law & Dispute Resolution

This Agreement is governed by the laws of the State of Florida. Venue for any dispute not subject to arbitration shall be Escambia County, Florida.

Except for claims that qualify for small claims court, any dispute arising out of this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) or JAMS, in accordance with their applicable rules.

CLASS ACTION WAIVER: ALL DISPUTES MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

11. Term & Termination

  • Either party may terminate this Agreement with 30 days' written notice.
  • CBP may terminate immediately for non-payment or if Subscriber's contractor license lapses or is revoked.
  • Bid documents and records in progress at the time of termination remain the property of, and accessible to, the Subscriber.
